Welcome to NewLaw. These Terms of Service ("Terms") govern your access to and use of the website located at www.newlaw.com (the "Website") and the services provided by NewLaw Pty Ltd ("NewLaw", "we", "us", or "our"). By accessing or using our Website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or services.

1. About Our Services

NewLaw is a legal technology consultancy providing advisory, implementation, data migration, and ongoing support services to law firms, in-house legal teams, and government departments. Our services include technology advisory and strategic planning, software selection and implementation, data migration from legacy systems, AI workflow design and automation, cyber security advisory, and client advocacy during software vendor negotiations.

The information provided on our Website, including blog articles, product descriptions, and technology recommendations, is intended for general informational purposes only. It does not constitute legal, financial, or professional advice. You should seek independent professional advice tailored to your specific circumstances before making any technology decisions.

2. Use of Our Website

You may use our Website for lawful purposes only. When using our Website, you agree not to use it in any way that violates any applicable local, state, national, or international law or regulation. You also agree not to attempt to gain unauthorised access to any part of the Website, its servers, or any connected systems. You must not use the Website to transmit any unsolicited or unauthorised advertising, promotional materials, or spam. You agree not to use any automated means (including bots, scrapers, or crawlers) to access the Website without our prior written consent, and you must not interfere with or disrupt the Website or the servers and networks connected to it.

3. Intellectual Property

All content on this Website, including text, graphics, logos, images, software, and the compilation thereof, is the property of NewLaw or its content suppliers and is protected by Australian and international copyright, trademark, and other intellectual property laws.

The NewLaw name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NewLaw. You must not use such marks without our prior written permission.

Product names, logos, and brands mentioned on our Website (including but not limited to Clio, ActionStep, Smokeball, NetDocuments, and other technology partners) are the property of their respective owners. Their inclusion on our Website does not imply endorsement by those companies of NewLaw, nor does it imply endorsement by NewLaw of those companies beyond our stated technology partnerships.

4. Tech Stack Selector and Product Recommendations

Our Tech Stack Selector tool and product recommendations are provided as general guidance based on our experience with legal technology implementations. The recommendations generated by the Tech Stack Selector are based on the information you provide and our general knowledge of the products. They do not constitute a comprehensive assessment of your firm's specific needs and should not be relied upon as the sole basis for technology purchasing decisions.

NewLaw is an independent, system-agnostic consultancy. While we maintain partnerships with various technology vendors, our recommendations are driven by our assessment of what best serves your needs. We provide guidance throughout the software selection process to help you secure the best terms and pricing.

5. Consultation Bookings

When you book a consultation through our Website, you agree to provide accurate and complete information. We will use the information you provide to prepare for and conduct the consultation. Initial consultations are provided at no charge unless otherwise stated. Any subsequent engagement will be subject to a separate written agreement outlining scope, fees, and terms.

6. Technology Advisory and Vendor Guidance

When NewLaw provides advisory services during software vendor evaluation and selection, we do so on the basis of a separate engagement agreement. Our role is to provide system-agnostic guidance to help you evaluate options and make informed decisions about technology investments for your firm.

While we strive to achieve the best possible outcomes, we cannot guarantee specific pricing levels, discounts, or contract terms from third-party vendors. Any performance or efficiency figures referenced on our Website are based on our internal estimates and historical data, and individual results may vary.

7. Data Migration Services

Data migration services are provided under separate engagement agreements that detail the scope, timeline, methodology, and pricing for each migration project. While we take every reasonable precaution to ensure data integrity during migration, you acknowledge that data migration inherently involves risk. We strongly recommend maintaining complete backups of all source data before any migration commences, and we include test migration phases in our methodology to identify and resolve issues before the final migration.

8. Limitation of Liability

To the maximum extent permitted by law, NewLaw, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Website, any conduct or content of any third party on the Website, any content obtained from the Website, or unauthorised access, use, or alteration of your transmissions or content.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

9. Indemnification

You agree to indemnify, defend, and hold harmless NewLaw and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Website.

10. Third-Party Links

Our Website may contain links to third-party websites, including those of our technology partners, clients, and industry resources. These links are provided for your convenience and information only. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites. You access third-party websites at your own risk.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide reasonable notice prior to any new terms taking effect by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Website after any changes constitutes acceptance of the new Terms.

13. Severability
